CODEAGE LLC AFFILIATE PROGRAM
PUBLISHER AGREEMENT
This Publisher Agreement (this “Agreement”) is entered into by and between You (“You” or “Your”) and Codeage LLC (“Codeage,” “We,” “Us,” or “Our”).
Both parties desire to establish the general terms and conditions governing advertising, promotional, and commission arrangements between You and Codeage. In consideration of the mutual promises contained herein, the parties agree as follows:
Offers, Engagements, and Affiliate Approval.
1.1 From time to time, Codeage may post offers on the Refersion Marketplace (each, an “Offer”) to pay a specified commission in exchange for advertising or promotional services leading to a Qualifying Link.
1.2 If You accept an Offer, an “Engagement” is formed. Each Engagement shall be governed by this Agreement. In the event of a conflict between an Engagement and this Agreement, the Engagement shall control.
1.3 Participation in the affiliate program is subject to Codeage’s approval in its sole discretion. Codeage may reject, suspend, or remove any affiliate at any time, with or without cause and with or without notice.
1.4 Prior to or after You displaying a Qualifying Link, Codeage may, with or without notice, change, suspend, discontinue, remove, alter, or modify any Offer, Engagement, commission structure, or marketing asset. You agree to promptly comply with all such requests.
1.5 Medical and Disease Claims. You may not make medical claims, disease claims, or unsubstantiated health claims regarding Codeage products unless expressly authorized in writing by Codeage. No disease claims, whether express or implied, may appear in any content where Codeage products are discussed. Codeage may require removal of any non-compliant content in its sole discretion.
1.6 Reciprocal Promotion. You acknowledge that You are not entitled to reciprocal promotion by Codeage.
1.7 Bonuses. If You offer a bonus related to the purchase of Codeage products, You are solely responsible for fulfillment, customer service, and compliance, and You may not discount or rebate Codeage products.
Your Responsibilities and Restrictions.
2.1 You agree to comply with all applicable laws, FDA and FTC regulations, advertising standards, and third-party platform rules, including those of Refersion, Google, Meta, TikTok, Amazon, and similar platforms.
2.2 You shall not make representations about Codeage, its products, pricing, policies, or guarantees except as expressly authorized.
2.3 You agree to comply with the CAN-SPAM Act and shall not send unsolicited emails or engage in spam practices. Any violation results in immediate termination.
2.4 Prohibited Traffic Sources. You may not use bots, click farms, incentivized traffic, misleading redirects, adware, spyware, domain spoofing, unauthorized paid search advertising, trademark bidding, or deceptive tracking practices.
2.5 No Sub-Affiliates. You may not sublicense, delegate, or permit third parties to promote Codeage products under Your affiliate account without Codeage’s prior written consent.
2.6 Audit and Monitoring. Codeage may monitor, review, and audit Your promotional activities, content, websites, traffic sources, and compliance at any time. You agree to fully cooperate upon request.
2.7 No Data Collection or Retargeting. You may not collect, scrape, store, sell, retarget, or otherwise use customer data, cookies, pixels, or tracking information related to Codeage customers without prior written consent.
2.8 No Resale or Marketplace Listings. You may not resell Codeage products or list them on third-party marketplaces including Amazon, eBay, Walmart, or similar platforms without express written authorization.
2.9 Geographic and Export Restrictions. You may not promote Codeage products in jurisdictions subject to U.S. sanctions, export restrictions, or regulatory prohibitions.
Commissions and Payments.
3.1 Commissions are payable only for sales resulting from a Qualifying Link during a valid Session, as determined solely by Refersion or Codeage.
3.2 Codeage retains sole responsibility for pricing, fulfillment, refunds, and customer transactions.
3.3 No commissions are payable on wholesale purchases, refunded orders, chargebacks, fraudulent transactions, or non-compliant traffic.
3.4 Commission Adjustments and Forfeiture. Codeage may withhold, reverse, offset, or recover commissions in its sole discretion for refunds, chargebacks, suspected fraud, inaccurate tracking, compliance violations, or regulatory risk.
3.5 Refersion Unified Payments Requirement. Effective February 1, 2026, all affiliates participating in the Codeage affiliate program through Refersion must enroll in and remain eligible for Refersion Unified Payments in order to receive commission payments. You acknowledge that eligibility for Unified Payments is determined solely by Refersion and its payment partners, not by Codeage. Codeage reserves the right, in its sole discretion, to suspend commissions or immediately terminate this Agreement or any Engagement if You fail to enroll in Unified Payments, fail to maintain eligibility, or are otherwise unable to receive payments through Refersion Unified Payments.
Ownership, Licenses, and Brand Protection.
4.1 Each party retains all right, title, and interest in its intellectual property.
4.2 Codeage grants You a revocable, non-exclusive, non-transferable license to use approved Codeage materials solely for authorized promotions.
4.3 You may not represent Yourself as an employee, agent, partner, or representative of Codeage or issue public statements on Codeage’s behalf without prior written approval.
Termination.
Codeage may immediately terminate this Agreement or any Engagement, without notice, for any violation of this Agreement, applicable law, advertising standards, third-party platform rules, payment eligibility requirements, or conduct that may harm Codeage’s reputation, brand, or regulatory standing.
Representations and No Reliance.
You represent that You have not relied on any representations, projections, or statements not expressly set forth in this Agreement. Codeage makes no guarantees regarding earnings, traffic, or performance.
Indemnification.
You agree to indemnify, defend, and hold harmless Codeage LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses arising from Your participation in the affiliate program or breach of this Agreement.
Limitation of Liability.
To the maximum extent permitted by law, Codeage shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.
Confidentiality.
All non-public information disclosed by Codeage, including commission rates, performance data, and business operations, is confidential and may not be disclosed without prior written consent.
Government and Regulatory Cooperation.
You agree to cooperate fully with Codeage in the event of any governmental, regulatory, FDA, FTC, or payment-processor inquiry relating to Your promotional or payment activities.
General Provisions.
11.1 The parties are independent contractors and nothing herein creates a partnership, agency, or joint venture.
11.2 This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
11.3 Binding Arbitration; Class Action Waiver; Jury Trial Waiver. Except for claims seeking injunctive or equitable relief, all disputes shall be resolved by final and binding arbitration administered by the American Arbitration Association in Palm Beach County, Florida. Each party shall bear its own costs and attorneys’ fees. You waive any right to participate in a class or representative action and waive any right to a jury trial.
11.4 Equitable Relief. Codeage may seek injunctive or equitable relief for violations of this Agreement without posting bond.
11.5 Amendment by Codeage. Codeage may modify this Agreement at any time, and continued participation constitutes acceptance.
11.6 Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
11.7 Assignment. You may not assign this Agreement without Codeage’s consent. Codeage may assign freely.
11.8 Force Majeure. Neither party shall be liable for delays due to events beyond reasonable control.
11.9 Severability. Invalid provisions shall be modified to the minimum extent necessary to be enforceable.
11.10 No Waiver. Failure to enforce any provision is not a waiver.
11.11 Survival. Arbitration, class action waiver, confidentiality, commission adjustments, indemnification, limitation of liability, governing law, and payment eligibility obligations shall survive termination.
11.12 Headings. Headings are for convenience only and do not affect interpretation.
11.13 Electronic Acceptance. Acceptance via Refersion or electronic means constitutes a binding agreement.

By accepting an Offer, or continuing to accept payments, through the Refersion Marketplace, You acknowledge that You have read, understood, and agreed to be bound by this Agreement.
CODEAGE LLC PRIVACY POLICY

Codeage LLC (“Codeage,” “we,” “us,” or “our”) values privacy and is committed to protecting personal information collected through our websites, products, services, affiliate program, and related activities (collectively, the “Services”). This Privacy Policy operates in conjunction with, and where applicable is supplemented by, the Codeage LLC Affiliate Program Publisher Agreement (the “Affiliate Agreement”). In the event of any conflict with respect to affiliates, the Affiliate Agreement shall control. By accessing or using the Services, including participation in the affiliate program through Refersion, you acknowledge that you have read, understood, and agreed to this Privacy Policy.
Information We Collect.
1.1 We may collect personal information you provide directly, including name, email address, mailing address, phone number, account credentials, tax information, payment details, and other information provided when purchasing products, creating accounts, contacting us, or participating in the affiliate program.
1.2 Affiliates may provide additional information required to administer referrals, commissions, tax reporting, fraud prevention, and payment processing, including information required by Refersion Unified Payments and its payment processors. Eligibility determinations are made solely by Refersion and its partners.
1.3 We may automatically collect information such as IP address, browser type, device identifiers, operating system, referring URLs, pages viewed, timestamps, and interaction data through cookies, pixels, and similar technologies.
1.4 We may receive information from third parties including Refersion, analytics providers, advertising platforms, payment processors, and compliance partners.
Use of Information.
2.1 We use collected information to operate, maintain, and improve the Services, process transactions and fulfill orders, administer and enforce the affiliate program, track referrals and calculate commissions, process, withhold, reverse, or adjust payments, verify eligibility for payment programs, detect fraud or abuse, comply with legal, tax, regulatory, and audit obligations, enforce our agreements including the Affiliate Agreement, and protect Codeage’s rights, property, and business interests.
Cookies and Tracking Technologies.
3.1 We use cookies, pixels, and similar technologies to track affiliate referrals and attribution, administer commission eligibility, analyze performance and site usage, and prevent fraud and abuse.
3.2 Disabling cookies may affect functionality, including affiliate tracking and commission attribution.
3.3 Affiliates are prohibited from deploying unauthorized tracking technologies, pixels, retargeting tools, or data collection mechanisms in connection with Codeage traffic as further described in the Affiliate Agreement.
Disclosure of Information.
4.1 We may disclose information to service providers and platforms performing services on our behalf, including Refersion, Unified Payments providers, analytics platforms, hosting services, and compliance partners.
4.2 We may disclose information to Refersion and related providers for referral tracking, commission attribution, fraud prevention, tax reporting, and payment processing.
4.3 We may disclose information if required by law, regulation, subpoena, court order, governmental inquiry, or to enforce our rights or agreements.
4.4 We may disclose information in connection with a merger, acquisition, financing, reorganization, or sale of assets.
4.5 Codeage does not sell personal information for monetary consideration.
Data Retention.
5.1 We retain information for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, administer and enforce the affiliate program, comply with legal, tax, and regulatory obligations, and resolve disputes and enforce agreements. Retention may extend beyond termination of accounts or affiliate participation as permitted by law and the Affiliate Agreement.
Data Security.
6.1 We implement reasonable administrative, technical, and physical safeguards designed to protect information. However, no method of transmission or storage is completely secure, and absolute security cannot be guaranteed.
Affiliate-Specific Privacy Obligations.
7.1 Customer data accessed through affiliate participation remains Codeage’s confidential information.
7.2 Affiliates may not collect, store, sell, reuse, retarget, or disclose customer data obtained through affiliate links except as expressly authorized in writing by Codeage.
7.3 Violations of this section may result in immediate termination and forfeiture of commissions pursuant to the Affiliate Agreement.
Children’s Privacy.
8.1 The Services are not directed to children under the age of thirteen, and Codeage does not knowingly collect personal information from children.
Your Rights and Choices.
9.1 Depending on your jurisdiction, you may have certain rights regarding your personal information, including rights to access, correct, or request deletion, subject to verification and legal limitations.
Third-Party Websites.
10.1 The Services may contain links to third-party websites. Codeage is not responsible for the privacy practices or content of such third parties.
International Users.
11.1 If you access the Services from outside the United States, you acknowledge that your information may be transferred to and processed in the United States, where data protection laws may differ.
Changes to This Privacy Policy.
12.1 Codeage may update this Privacy Policy from time to time. Changes will be effective upon posting, and continued use of the Services constitutes acceptance of the revised policy.
